1. Agreement to These Terms
These Terms of Service (“Terms”) are an agreement between you and VideoHub360 LLC
(“VideoHub360,” “we,” “us,” or “our”).
These Terms govern your access to and use of the VideoHub360 website, customer
accounts, software products, product downloads, licenses, updates, support services,
professional services, documentation, Starter Sites, and other related resources
or services provided by VideoHub360.
By accessing this website, creating an account, purchasing a VideoHub360 product
or service, downloading software, activating a license, requesting support, or
otherwise using VideoHub360 products or services, you agree to these Terms.
If you do not agree to these Terms, you should not purchase or use VideoHub360
products or services.
2. VideoHub360 Products and Services
VideoHub360 is a WordPress-based software product suite that may include a
WordPress theme, bundled plugins, VideoHub360 Studio, community features,
membership features, Starter Sites, PWA/app-related functionality,
templates, updates, documentation, licensing services, and other related
software or resources.
VideoHub360 may also offer professional services, including the
VideoHub360 Done-for-You Launch Package and other implementation,
setup, configuration, or consulting services.
Product features, components, integrations, services, and availability may
evolve over time as VideoHub360 is developed, maintained, improved, reorganized,
or adjusted for technical, security, compatibility, legal, or business reasons.
3. Customer Accounts
You may be required to create or sign in to a customer account before purchasing
or accessing certain VideoHub360 products or services.
Your customer account may be used to associate your purchases, license keys,
downloads, activated websites, support eligibility, support renewals,
service orders, and other account-related information.
You are responsible for providing accurate account information and for keeping
your login credentials, license keys, and other private account information secure.
You are responsible for activity that occurs through your account unless the
activity results from circumstances reasonably outside your control.
If you believe your account or license key has been compromised, contact
VideoHub360 support promptly.
4. Purchases, Pricing, and Payment
VideoHub360 products and services are sold through the checkout methods made
available on this website or through another authorized VideoHub360 purchase method.
By placing an order, you agree to provide accurate billing, account, and payment
information and authorize the applicable payment provider to process the transaction.
Prices, promotions, license options, service packages, support terms, and renewal
offerings may change from time to time. A price change does not retroactively alter
the amount already paid for a completed purchase.
Unless expressly stated otherwise, prices do not include third-party services,
hosting, domains, external subscriptions, payment-processing fees charged directly
to you by third parties, premium third-party plugins, API usage, video-delivery
charges, cloud-storage charges, or other external costs.
You are responsible for taxes or other charges imposed on your purchase where
required by applicable law.
5. Digital Product Delivery
VideoHub360 software is delivered digitally. After successful payment, eligible
products, downloads, license keys, updates, or account resources may be provided
through your customer account, order details, email, customer dashboard,
licensing system, or another authorized delivery method.
You are responsible for downloading, installing, configuring, backing up,
securing, and maintaining VideoHub360 on your website unless you purchase
a service that specifically includes those activities.
Access to certain downloads or license-connected services may require an active
customer account or valid commercial license entitlement.
6. VideoHub360 License Plans
VideoHub360 lifetime licenses are offered with different official website
activation limits.
- A 1 Site License allows up to 1 officially activated website.
- A 2 Site License allows up to 2 officially activated websites.
- A 3 Site License allows up to 3 officially activated websites.
Official license activation may be required for automatic updates, license
verification, support eligibility, customer-account integration, and other
commercial services provided directly by VideoHub360.
You may not use a VideoHub360 license key to obtain official license-connected
services on more websites than permitted by the license plan you purchased.
Detailed license terms are provided in the VideoHub360 License Policy.
7. Lifetime Product Access
A VideoHub360 lifetime license provides lifetime product access for the license
plan purchased, subject to these Terms, the License Policy, and any applicable
product-specific terms presented at purchase.
Lifetime product access is separate from technical-support eligibility.
Lifetime access does not mean lifetime custom development, custom website design,
site administration, hosting, third-party subscriptions, custom integrations,
unlimited consulting, or unlimited technical support.
Lifetime access also does not guarantee compatibility with every future release
of WordPress, WooCommerce, Elementor, PHP, web browsers, hosting platforms,
operating systems, APIs, or third-party services.
8. Product Updates
Eligible VideoHub360 licenses may receive official software updates, compatibility
changes, security changes, bug fixes, improvements, and new or modified features.
Updates may be provided through the VideoHub360 customer area, WordPress updater,
license system, downloads area, or another authorized distribution method.
Automatic or license-connected updates may require a valid license and eligible
website activation.
You are responsible for maintaining appropriate website backups before installing
updates and for testing significant updates in a safe environment when appropriate.
VideoHub360 may modify, replace, reorganize, add, or retire features when reasonably
necessary for continued product development, security, compatibility, performance,
legal compliance, or maintenance.
9. Included Support
Unless otherwise stated on the applicable product page or at checkout, a new
VideoHub360 lifetime license includes six months of standard product support
beginning from the purchase date.
Standard support may include assistance with installation guidance, product usage,
product questions, troubleshooting, and issues involving VideoHub360 functionality.
Standard support does not include custom development, custom design, content creation,
server administration, hosting management, unrelated third-party troubleshooting,
data migration, custom integrations, site restoration, or complete website-building
services unless separately purchased or agreed to in writing.
10. Support Renewals
After the included support period expires, eligible customers may purchase a
VideoHub360 Support Renewal.
Unless otherwise stated at purchase, a standard VideoHub360 Support Renewal
provides three additional months of support for an existing eligible license.
A support renewal does not create an additional lifetime license and does not
increase the number of websites allowed under the existing license.
Support renewal pricing and availability are determined by the applicable
product page or checkout terms at the time the renewal is purchased.
11. Done-for-You Launch Package and Professional Services
VideoHub360 may offer professional implementation services, including the
Done-for-You Launch Package.
Professional services may include agreed-upon activities such as VideoHub360
installation, configuration, Starter Site setup, branding implementation,
feature configuration, or other services specifically described on the applicable
product page, order confirmation, proposal, statement of work, or written agreement.
The exact scope of professional services is limited to the services expressly
included in the purchased package or otherwise agreed to in writing.
Features, design work, integrations, development, content creation, migrations,
third-party setup, or other work not included in the purchased package may require
a separate agreement or additional payment.
12. Customer Responsibilities for Professional Services
Professional-service projects depend on timely cooperation from the customer.
You agree to provide the information, approvals, access, and materials reasonably
required to perform the purchased services.
Depending on the project, required items may include:
- WordPress administrator access
- Hosting or server access when necessary
- Domain or DNS access when included in the agreed scope
- Logos and brand assets
- Colors and branding preferences
- Text, images, video, and other website content
- Third-party account credentials or API information when required
- Timely feedback and approvals
You represent that you have the necessary rights and permissions to provide
any content, branding, images, videos, trademarks, documents, credentials,
or other materials that you supply to VideoHub360.
13. Project Scheduling and Customer Delays
Any project completion date or turnaround estimate is dependent on the project
scope, customer responsiveness, availability of required materials, third-party
services, and other circumstances.
Unless VideoHub360 expressly guarantees a completion date in writing, project
schedules and turnaround estimates are estimates rather than guaranteed deadlines.
Customer delays in providing content, access, approvals, credentials, decisions,
feedback, or other required materials may extend the project schedule.
VideoHub360 is not responsible for delays caused by unavailable customer materials,
customer inactivity, third-party service outages, hosting issues, platform changes,
force majeure events, or circumstances reasonably outside our control.
14. Revisions and Changes to Service Scope
Any revisions included with a professional-service package will be determined by
the applicable product description, proposal, statement of work, order confirmation,
or other written service terms.
Requests that materially change the original scope, add new functionality,
require additional custom development, require significant redesign, or introduce
new third-party integrations may be considered additional work.
Additional work may require a revised scope, additional fees, or a separate agreement
before that work is performed.
15. Project Completion and Acceptance
A professional-service project may be considered substantially complete when
the work included in the agreed scope has been performed and made available
to the customer for use or review.
Minor issues or requests outside the original scope do not necessarily prevent
substantial completion of the project.
Customers should review completed work promptly and notify VideoHub360 of any
material issue relating to the agreed scope within a reasonable period.
Additional changes requested after completion may be treated as new work
or ongoing support depending on the nature of the request.
16. Third-Party Costs for Professional Services
Unless expressly included in writing, VideoHub360 professional-service pricing
does not include third-party charges.
Third-party charges may include hosting, domain registration, premium plugins,
external software licenses, video-storage or delivery fees, livestreaming fees,
payment-processing fees, API usage fees, cloud services, email services,
push-notification services, or other external services.
You are responsible for purchasing, maintaining, and paying for third-party services
required for your implementation unless the applicable service agreement
expressly states otherwise.
17. Refunds and Cancellations
Refund eligibility for VideoHub360 products and services is governed by the
VideoHub360 Refund Policy and any specific terms presented at the time of purchase.
Software-license purchases and professional-service purchases may have different
refund or cancellation conditions.
If a professional-service project is cancelled before work begins, refund
eligibility will be determined under the applicable Refund Policy and service terms.
After professional work has begun, the service portion of a purchase may become
partially or fully non-refundable to the extent permitted by applicable law,
taking into account work already performed, resources committed, scheduling,
and other applicable service terms.
If a VideoHub360 software purchase is refunded, commercial benefits associated
with that purchase may be terminated, including official license activation,
updates, customer downloads, support eligibility, and other account-connected services.
Any software component governed by a separate applicable software or open-source
license remains subject to the terms of that license.
18. Third-Party Services and Integrations
VideoHub360 may integrate with or depend on third-party software, services,
plugins, platforms, APIs, hosting providers, payment processors, video providers,
email providers, push-notification services, cloud-storage services, or other
external technologies.
Examples may include WordPress, WooCommerce, Elementor, payment gateways,
livestreaming providers, cloud-storage providers, hosting providers, email services,
and other platforms.
Third-party products and services are governed by their own terms, privacy policies,
pricing, licensing, technical limitations, and availability.
VideoHub360 does not control and cannot guarantee the continued availability,
pricing, functionality, security, or compatibility of third-party products or services.
19. Customer Website Responsibilities
Except where a separately purchased service states otherwise, you are responsible
for maintaining your WordPress website, hosting environment, backups, security,
administrator credentials, plugin compatibility, payment settings, third-party
accounts, legal compliance, and website content.
You are responsible for determining whether VideoHub360 and any connected
third-party services are appropriate for your particular website, business,
organization, users, and legal obligations.
You should maintain current backups and reasonable website security practices.
20. Acceptable Use
You agree not to use VideoHub360 products, services, customer systems, support
resources, or licensing infrastructure for unlawful, fraudulent, harmful,
abusive, infringing, deceptive, or unauthorized purposes.
You may not intentionally interfere with, attack, circumvent, manipulate,
overload, or attempt to gain unauthorized access to VideoHub360 accounts,
servers, licensing systems, update infrastructure, customer downloads,
security systems, or support services.
21. License Keys, Accounts, and Commercial Service Abuse
VideoHub360 license keys, customer-account credentials, support access,
update services, and other private commercial-service credentials may not
be shared or provided for unauthorized use.
VideoHub360 may restrict, suspend, or terminate access to commercial services
when we reasonably believe an account or license key is being fraudulently used,
compromised, abused, used beyond its permitted activation entitlement, or used
to obtain unauthorized access to VideoHub360 commercial services.
Commercial-service restrictions may affect official license activation,
automatic updates, customer downloads, support eligibility, or customer-account access.
22. Open-Source Components
Certain software components included with VideoHub360 may be provided under
the GNU General Public License (GPL) or another applicable open-source license.
Where an open-source license applies to a particular component, the terms of
that license govern that component.
Nothing in these Terms is intended to modify rights or obligations governed
by an applicable open-source license.
VideoHub360 commercial terms separately govern access to official activation,
downloads, updates, support, customer accounts, hosted services, and other
commercial benefits provided by VideoHub360 LLC.
23. Intellectual Property and VideoHub360 Branding
The VideoHub360 name, logos, brand identity, original marketing materials,
original documentation, website content, company identity, service systems,
and other intellectual property owned by VideoHub360 LLC remain the property
of VideoHub360 LLC or the applicable rights holder.
Purchasing a VideoHub360 product or service does not transfer ownership of the
VideoHub360 brand, trademarks, customer infrastructure, license services,
support systems, or company identity.
You may not falsely represent yourself, your company, an unofficial product,
or an independent service as VideoHub360 LLC or as officially sponsored,
certified, endorsed, or authorized by VideoHub360 when no such relationship exists.
Certain software components and third-party materials may be governed by separate
licenses. Those applicable license terms control those components.
24. Customer-Provided Materials
You retain ownership of content and materials that you own and provide to
VideoHub360 for use in connection with a professional-service project.
You grant VideoHub360 permission to access, copy, modify, configure, upload,
or otherwise use those materials only as reasonably necessary to perform the
services you requested.
You are responsible for ensuring that customer-provided materials do not violate
another party's copyrights, trademarks, privacy rights, contractual rights,
or other legal rights.
25. Privacy
VideoHub360's collection and use of personal information in connection with
this website, customer accounts, purchases, licensing, and support is described
in the VideoHub360 Privacy Policy.
Third-party services connected to VideoHub360 may independently collect or
process information under their own privacy policies.
26. Disclaimer of Warranties
To the maximum extent permitted by applicable law, VideoHub360 products,
websites, documentation, support resources, and services are provided on an
“as is” and “as available” basis except where a specific written warranty
expressly states otherwise.
VideoHub360 does not guarantee that every feature, integration, third-party
service, hosting environment, plugin combination, browser, API, or future
platform version will operate without interruption or error.
We do not guarantee that VideoHub360 will satisfy every customer-specific
technical, business, regulatory, design, or operational requirement.
Nothing in this section excludes warranties or rights that cannot legally
be excluded under applicable law.
27. No Guarantee of Business Results
VideoHub360 provides software and services that may help customers create and
operate video, community, membership, livestreaming, course, business,
or other digital experiences.
We do not guarantee any particular level of revenue, profitability, website traffic,
user engagement, audience growth, donations, memberships, leads, sales, search-engine
rankings, conversions, or other business or organizational results.
28. Limitation of Liability
To the maximum extent permitted by applicable law, VideoHub360 LLC and its
owners, employees, contractors, representatives, or affiliates will not be liable
for indirect, incidental, consequential, special, exemplary, or punitive damages,
or for lost profits, lost revenue, lost data, loss of business opportunity,
business interruption, or similar losses arising from or related to your use
of VideoHub360 products or services.
To the maximum extent permitted by applicable law, VideoHub360's total aggregate
liability arising from a specific product or service will not exceed the amount
you paid directly to VideoHub360 for the product or service giving rise to the claim
during the twelve months immediately preceding the event giving rise to the claim.
These limitations do not apply where liability cannot legally be limited or excluded.
29. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless
VideoHub360 LLC and its owners, employees, contractors, and representatives from
third-party claims, damages, liabilities, costs, or expenses arising from:
- Your unlawful or unauthorized use of VideoHub360 products or services.
- Your violation of these Terms.
- Content or materials you provide that infringe another party's rights.
- Your website, business, organization, users, products, or services.
- Your violation of applicable law or third-party contractual obligations.
This section does not require you to indemnify VideoHub360 for claims caused
solely by VideoHub360's own unlawful conduct where such indemnification would
be prohibited by law.
30. Suspension and Termination of Commercial Services
VideoHub360 may suspend or terminate access to commercial services when reasonably
necessary because of fraud, nonpayment, chargeback activity, compromised accounts,
misuse of license infrastructure, security threats, unlawful activity, abuse of
support resources, violation of these Terms, or unauthorized access to customer-only
systems.
Suspension or termination of commercial services may affect customer-account access,
official downloads, activations, automatic updates, support, or other services
provided directly by VideoHub360 LLC.
Any separately licensed software component remains subject to the license terms
applicable to that component.
31. Force Majeure
VideoHub360 will not be responsible for a delay or failure to perform an obligation
where the delay or failure results from circumstances reasonably outside our control.
Such circumstances may include natural disasters, severe weather, fire, war,
civil unrest, governmental action, widespread internet or infrastructure outages,
hosting-provider outages, third-party service failures, cybersecurity incidents,
labor disruptions, epidemics, pandemics, or other comparable events.
32. Governing Law
These Terms and any dispute relating to VideoHub360 products or services will
be governed by the laws of the State of Illinois, United States, without regard
to conflict-of-law principles, except where another law must apply as a matter
of applicable law.
Nothing in these Terms prevents a consumer from exercising rights or protections
that cannot legally be waived under applicable law.
33. Severability
If any provision of these Terms is determined to be invalid, illegal, or
unenforceable, the remaining provisions will remain in effect to the maximum
extent permitted by law.
An invalid or unenforceable provision may be interpreted or modified only to
the minimum extent necessary to make it enforceable where permitted by law.
34. No Waiver
A failure by VideoHub360 to enforce a provision of these Terms does not waive
our right to enforce that provision or another provision later.
35. Assignment
You may not assign or transfer your VideoHub360 customer account or commercial
service entitlements to another person or business without VideoHub360's written
permission, except where otherwise required by applicable law.
VideoHub360 may assign these Terms in connection with a merger, acquisition,
reorganization, sale of assets, business transfer, or similar transaction,
subject to applicable law.
36. Entire Agreement and Policy Relationship
These Terms, together with the VideoHub360 License Policy, Refund Policy,
Privacy Policy, applicable product-page terms, checkout terms, and any written
service agreement applicable to your purchase, form the agreement governing
your use of VideoHub360 products and services.
If a separately signed written agreement or specific written service agreement
directly conflicts with these general Terms, the more specific written agreement
will control for the subject matter it expressly covers.
Applicable open-source licenses govern the software components to which those
licenses apply.
37. Changes to These Terms
VideoHub360 may update these Terms from time to time to reflect changes to our
products, services, pricing structure, licensing systems, support offerings,
professional services, technical infrastructure, legal requirements, or
business practices.
When changes are made, the updated Terms may be posted on this page with a
revised last-updated date.
Material changes generally apply going forward and do not remove rights already
provided under a valid prior purchase or applicable software license except where
changes are reasonably necessary for legal compliance, fraud prevention, security,
abuse prevention, or protection of VideoHub360's services and infrastructure.
